STANDARD TERMS AND CONDITIONS OF SALE

1. Waiver of Client’s Terms
   The client explicitly waives their own standard terms and conditions, even if these were drawn up after these terms and conditions of sale. Any exceptions to these terms must be expressly agreed upon in writing and in advance.
2. Payment Terms
   a. Invoices are payable within 21 working days unless a different payment term is stated on the invoice or order confirmation.
   b. In case of late payment, Agile Vocal Optimization Centre Limited reserves the right to apply a fixed interest fee of 10% of the outstanding amount.
   c. The company may suspend services without prior notice if payment remains overdue.
3. Debt Recovery
   a. Payments overdue for more than sixty (60) days may be referred to a debt recovery agency.
   b. Any legal or recovery-related expenses will be the responsibility of the client.
4. Withholding Tax
   a. Some jurisdictions require withholding taxes on invoices under their domestic laws.
   b. Clients must remit any applicable withholding taxes to their respective tax authorities.
   c. Agile Vocal Optimization Centre Limited is not responsible for any costs related to the client’s local tax laws, and invoices must be settled in full, exclusive of any such deductions.
5. Service Performance
   a. Agile Vocal Optimization Centre Limited commits to delivering high-quality services within agreed timeframes.
   b. However, all obligations are considered best-effort commitments and are not guarantees of specific results.
   c. The company cannot be held liable for any claims for damages brought against the client by a third party or end consumer.
6. Claims and Disputes
   a. Clients must notify Agile Vocal Optimization Centre Limited of any claims by recorded delivery within eight (8) days of receiving goods or services.
   b. Claims submitted after this period will not be considered.
7. Governing Law
   All contractual relations are governed exclusively by the laws of Hong Kong.
